Introduction

  • Welcome to Truncate Technologies Private Limited ("Truncate," "we," "us," or "our"). These Terms and Conditions ("Terms," "T&C") constitute a legally binding agreement between you ("User," "you," or "your") and Truncate governing your access to and use of our websites, software products (including StoreWings and ClickURL), consulting services, and all related platforms, applications, content, and services (collectively, the "Services").
  • By accessing, browsing, registering for, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must immediately cease using our Services.

1. Definitions

  • "Account" means the registered user profile you create to access our Services.
  • "Content" means any data, text, images, videos, code, files, links, or other materials uploaded, created, or transmitted through the Services.
  • "Intellectual Property" means all patents, trademarks, service marks, copyrights, trade secrets, proprietary technology, and other intellectual property rights.
  • "Order" or "Order Form" means a purchase, subscription, or service agreement executed between you and Truncate.
  • "StoreWings" refers to our e-commerce platform enabling users to create and manage online stores.
  • "ClickURL" refers to our URL shortening, tracking, and analytics platform.
  • "Third-Party Services" means external platforms, integrations, plugins, or services not owned or controlled by Truncate.

2. Eligibility & Account Registration

  • 2.1 Eligibility
    You must be at least 18 years of age or the age of majority in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.
  • 2.2 Account Creation
    To access certain features, you must register for an Account by providing accurate, complete, and current information, including your name, email, phone number, company details, and payment information.
  • 2.3 Account Security
    You are solely responsible for:
    • Maintaining the confidentiality of your account credentials
    • All activities conducted under your Account
    • Notifying us immediately of any unauthorized access or security breach
    You agree not to share your login credentials with any third party.
  • 2.4 Accurate Information
    You must provide truthful, accurate, and up-to-date information. Providing false or misleading information may result in immediate termination of your Account.

3. Services Overview

  • 3.1 StoreWings — StoreWings enables you to create, customize, and operate an e-commerce store. Features include product catalog management, payment gateway integration, inventory tracking, order management, and analytics.
  • 3.2 ClickURL — ClickURL allows you to shorten URLs, track clicks, analyze traffic, generate QR codes, create link-in-bio pages, and measure marketing campaign performance.
  • 3.3 Consulting Services — We offer custom software development, cloud architecture, AI integration, and technical consulting services as detailed in separate Statements of Work (SOW) or Service Agreements.
  • 3.4 Service Modifications — We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of Services.

4. Acceptable Use Policy

  • 4.1 Permitted Use — You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:
    • Violate any applicable local, state, national, or international law or regulation
    • Infringe upon the intellectual property, privacy, or other rights of Truncate or third parties
    • Transmit viruses, malware, or any harmful code
    • Engage in fraud, phishing, spamming, or unauthorized advertising
    • Attempt to gain unauthorized access to our systems, servers, or networks
    • Use automated tools (bots, scrapers, crawlers) without written permission
    • Reverse engineer, decompile, or disassemble any part of our Services
    • Resell, sublicense, or commercially exploit our Services without authorization
  • 4.2 Prohibited Content — You may not upload, transmit, or distribute Content that:
    • Is illegal, defamatory, obscene, threatening, or harassing
    • Promotes violence, terrorism, hate speech, or discrimination
    • Contains child sexual abuse material (CSAM) or exploits minors
    • Infringes copyrights, trademarks, patents, or trade secrets
    • Violates privacy rights or impersonates others
    • Contains malicious software or links to phishing sites
  • 4.3 Enforcement — We reserve the right to investigate, suspend, or terminate Accounts that violate this Acceptable Use Policy without prior notice and without liability.

5. Intellectual Property Rights

  • 5.1 Ownership by Truncate — All Intellectual Property in the Services, including software, logos, trademarks, designs, graphics, interfaces, documentation, and code, is owned by or licensed to Truncate.
  • 5.2 User Content — You retain ownership of Content you upload or create using our Services. By uploading Content, you grant Truncate a worldwide, non-exclusive, royalty-free license to use, reproduce, display, perform, modify, and distribute your Content solely to provide, maintain, and improve our Services.
  • 5.3 Feedback — If you provide suggestions, ideas, or feedback, you grant Truncate a perpetual, irrevocable, royalty-free license to use and commercialize it without obligation.
  • 5.4 Trademark Use — You may not use Truncate's trademarks, logos, or brand assets without prior written consent.

6. Payment Terms

  • 6.1 Subscription Plans — Certain Services are offered on a subscription basis (monthly, quarterly, annually). Pricing details are available on our website and Order Forms.
  • 6.2 Payment Methods — We accept payments via credit/debit cards, UPI, net banking, and other supported methods.
  • 6.3 Billing & Invoicing — Subscription fees are billed in advance at the start of each billing cycle. Consulting fees are invoiced per the agreed SOW or Order Form.
  • 6.4 Auto-Renewal — Subscriptions renew automatically unless cancelled before renewal.
  • 6.5 Non-Payment — Failure to pay fees may result in suspension or termination of Services.
  • 6.6 Taxes — All fees exclude applicable taxes. You’re responsible for paying taxes except those based on Truncate’s net income.
  • 6.7 Refund Policy — Refunds are processed within 14 days if unused. Consulting services are non-refundable once work has begun.

7. Term & Termination

  • 7.1 Term — These Terms start when you first access our Services and continue until terminated.
  • 7.2 Termination by User — You may delete your account anytime via settings or by emailing Connect@truncate.in.
  • 7.3 Termination by Truncate — We may suspend or terminate accounts for breaches, non-payment, or illegal activities.
  • 7.4 Effect of Termination — Access ends immediately; data may be deleted after 30 days. Sections on IP, liability, and law survive termination.

8. Data & Privacy

  • Your use of our Services is subject to our Privacy Policy.
  • 8.1 Data Processing (StoreWings Users) — You act as data controller, and Truncate as processor. You must comply with data protection laws and obtain necessary consents.

9. Third-Party Services & Links

  • Our Services may integrate with third-party platforms. We are not responsible for their content, policies, or practices.

10. Warranties & Disclaimers

  • 10.1 Limited Warranty — We warrant that Services will perform substantially as described. Remedy: fix errors or refund unused fees.
  • 10.2 Disclaimer — Services are provided “as is” without warranties of any kind, express or implied.

11. Limitation of Liability

  • 11.1 Exclusion of Damages — Truncate shall not be liable for indirect or consequential damages including loss of data, profits, or opportunities.
  • 11.2 Cap on Liability — Our total liability is limited to INR 50,000 or total fees paid in the past 12 months.
  • 11.3 Exceptions — Does not apply to gross negligence, personal injury, or mandatory legal liability.

12. Indemnification

  • You agree to indemnify Truncate for losses arising from your misuse, violations, or disputes with customers.

13. Confidentiality

  • 13.1 Confidential Information — Includes non-public business, technical, and customer data.
  • 13.2 Obligations — Parties agree to keep such information confidential and use it only for contract performance.
  • 13.3 Exceptions — Information publicly known, independently developed, or required by law is exempt.

14. Governing Law & Dispute Resolution

  • 14.1 Governing Law — These Terms are governed by Indian law.
  • 14.2 Jurisdiction — Disputes shall be heard in Varanasi, Uttar Pradesh.
  • 14.3 Arbitration — Parties agree to attempt negotiation and, failing that, arbitration in Varanasi under the Arbitration and Conciliation Act, 1996.
  • 14.4 Class Action Waiver — You waive the right to participate in class or representative actions.

15. Force Majeure

  • Truncate shall not be liable for failures caused by acts beyond its control, including natural disasters, wars, pandemics, or cyber attacks.

16. Miscellaneous Provisions

  • 16.1 Entire Agreement — These Terms and referenced documents constitute the entire agreement.
  • 16.2 Amendments — We may update Terms with notice; continued use means acceptance.
  • 16.3 Severability — Invalid provisions don’t affect the rest.
  • 16.4 Waiver — Failure to enforce rights isn’t a waiver.
  • 16.5 Assignment — You can’t transfer rights without consent; we may assign to affiliates.
  • 16.6 Relationship — No partnership or employment relationship is created.
  • 16.7 Notices — Notices must be in writing to Connect@truncate.in.
